SEC Modernization Act

Summary

HB3318, titled the SEC Modernization Act, would direct the Securities and Exchange Commission to reorganize several of its internal offices. It would move the Office of the Secretary, Office of the Ethics Counsel, and Office of International Affairs under the Office of the General Counsel; move the Office of the Chief Accountant, Office of Credit Ratings, and Office of Municipal Securities into the Division of Corporate Finance; merge the Office of Legislative and Intergovernmental Affairs into the Office of Public Affairs; and place the Office of Investor Education and Advocacy under the Office of the Investor Advocate. The bill also authorizes the SEC to consolidate regional offices if the Commission determines that doing so is appropriate. At the same time, it preserves the SEC’s ability to reorganize these offices again in the future if the agency concludes that a different structure is necessary or in the public interest for investor protection. In effect, the bill seeks to streamline the agency’s organizational structure while leaving some flexibility to the Commission.

Impact

If enacted, the bill would amend how the SEC is internally structured by changing reporting lines and consolidating certain offices within existing divisions and leadership offices. It would affect SEC administrative operations, including legal, accounting, municipal securities, investor education, public affairs, and international functions, but it would not directly change securities market rules, enforcement standards, or substantive investor protections. The bill could also lead to fewer or consolidated regional offices, depending on SEC discretion.

Sentiment

There is limited recorded debate or voting history available for this bill, so no clear partisan or stakeholder sentiment can be inferred from committee discussion. Based on the text, the measure appears to be framed as an efficiency and modernization proposal rather than a policy overhaul. The absence of transcripts or votes suggests the bill was at an early stage and had not yet generated a documented public controversy in the available record.

Contention

The main point of potential contention is whether reorganizing SEC offices would improve efficiency or instead disrupt specialized functions and reduce independence within the agency. Critics might be concerned that moving offices such as Ethics Counsel, International Affairs, or Investor Education under larger units could dilute their visibility or mission focus, while supporters would likely argue the changes reduce duplication and improve management. Any future consolidation of regional offices could also raise concerns about access, local presence, and enforcement coverage.
